Terms

Last updated: April 2026

These are our public terms in plain language. They summarize how we work with clients on website projects and care plans. Binding terms — including project-specific scope, deliverables, deposit refund mechanics, and cancellation fees — are detailed in your signed Statement of Work (SOW). If anything below conflicts with your SOW, the SOW wins.

Quotes & proposals

Pricing on our public pages is a starting point. Final pricing is set in a written proposal after we understand your scope. Quotes are valid for 30 days from the date issued and lock in the price, currency, and timeline.

Payment terms

  • 50% deposit to reserve your project slot — paid after you accept the proposal.
  • 50% balance invoiced on hand-off, due before the site goes live.
  • Projects over $5,000 may be split into 3–4 milestones, agreed in writing upfront.
  • We accept Stripe (card), Interac e-Transfer (Canadian clients), and wire / ACH (US clients). Payment options are confirmed in the proposal.

Deposits & refunds

The 50% deposit is a project initiation fee that reserves your build slot and locks in the signed scope.

  • Before work starts: a short grace period (specified in your SOW) during which the deposit is fully refundable.
  • Once design or development begins: the deposit becomes non-refundable, since your slot is committed and time has been allocated.
  • If we cancel before delivering work, the deposit is fully refunded.

Exact mechanics are spelled out in your SOW before you pay.

Currency & tax

  • Canadian clients: prices in CAD, plus applicable GST/HST based on your province.
  • US clients: prices in USD (net). Services exported from Canada are zero-rated under CRA rules — no GST, HST, or PST is charged.
  • Your signed proposal locks the contract currency and the FX rate at time of agreement.

Tax treatment described here is general guidance, not tax advice — consult your accountant for your specific situation.

Revisions

Every package includes a defined number of revision rounds. A round is one batch of consolidated feedback per delivery. Out-of-scope changes (new pages, new features, full redesigns of approved sections, content supplied after development begins) are quoted separately before work starts.

Project cancellation

You can cancel a project in writing at any time. The deposit is non-refundable once work has started, and a kill fee may apply for cancellation after development begins (specified in your SOW). Any work completed up to the cancellation date is delivered to you in usable form.

Care plans

  • Month-to-month with no long-term contract — cancel anytime.
  • Cancel from the Stripe customer portal (link is included in every monthly receipt). Plan remains active through the end of the current billing period; no exit fees, no pro-rated refunds.
  • Unused hours don't carry over month-to-month.
  • We may pause or end a plan with 30 days' notice if a site falls outside what the plan reasonably covers.

Ownership & intellectual property

On final payment, you own all final deliverables — the site code, design files, and content we created for you. Until final payment is made, the work remains our property. We retain the right to display the finished site in our portfolio unless you ask us not to in writing.

Confidentiality

We keep your business information, brand assets, and project details confidential. We don't share client work or details with third parties beyond the tools required to deliver the project (e.g., hosting, form processing).

Liability

Our liability for any claim related to a project is limited to the fees you've paid for that project. We are not liable for lost profits, business interruption, or consequential damages.

Jurisdiction

These terms and any project agreement are governed by the laws of the Province of British Columbia, Canada. Disputes are subject to the exclusive jurisdiction of the courts of British Columbia.

Changes to these terms

If we update these terms, the "Last updated" date above will change. Existing signed SOWs are not affected by future updates — the version of these terms in effect when you signed your SOW continues to apply to that project.
